Standard Terms of Business: AI Leaders
Bootcamp


1. Structure of the Agreement


These Terms of Business ("Terms") apply to the AI Leaders Bootcamp provided by Cambridge Spark España ("we", "us", "our") to the corporate client or individual named on the accompanying sales invoice ("you", "your"). By paying our invoice or participating in any phase of the Bootcamp, you agree to be bound by these Terms.


2. Bootcamp Delivery & Phases


The Bootcamp is a multi-phase executive education journey delivered flexibly over approximately three (3) months. It comprises:

  • Phase 1 (Mindset Shift): A 1-day immersive residential session in Barcelona.

  • Phase 2 (Ideation & Application): An AI Value Discovery Sprint consisting of three (3) group strategy sessions with a Programme Director to build your AI Value Blueprint.

  • Phase 3 (Value Realisation): Final presentations and an Executive Pitch to demonstrate prototype capabilities and business impact. We reserve the right to alter scheduling, faculty, or digital tools (such as Claude) where operationally required to maintain delivery quality.


3. Payment Terms


All fees are set out in the accompanying invoice. Payment must be made in full within 30 days of the invoice date or prior to the start of Phase 1 (whichever is earlier). Access to the Barcelona residential, digital learning materials, and project coaching sessions is strictly conditional upon receipt of cleared funds.


4. Cancellation & Rescheduling


  • By You: Because seats for the Barcelona residential session and advisory cohorts are strictly limited, fees are non-refundable once payment is processed or the program has launched. If a registered participant cannot attend, you may substitute an eligible senior or executive leader from your organization upon giving us at least 7 days' written notice prior to Phase 1.

  • By Us: In the exceptional event that we must cancel or postpone a cohort due to circumstances beyond our reasonable control (Force Majeure), we will offer you an alternative date or a credit note for a future cohort.


5. Intellectual Property (IP) Rights

  • Our Background IP: We retain exclusive ownership of all copyrights, proprietary code, frameworks, teaching methodologies, and learning materials accessible via the EDUKATE.AI platform or delivered during the program. No material may be copied, reproduced, or distributed externally without prior written consent.

  • Your Project IP: You retain all intellectual property rights in the specific data, internal use cases, and proprietary organizational strategies developed into your custom AI Value Blueprint during Phase 2 and 3 of the program.


6. Confidentiality & Data Security


Both parties agree to protect each other’s sensitive data and commercial information. You agree that your participants will not upload highly sensitive, regulatory-restricted, or raw customer personal data into shared public generative AI testing environments during practical hackathons or workshops.

7. Limitation of Liability


The AI Leaders Bootcamp is an executive education and advisory program designed to help you architect an internal AI strategy. Cambridge Spark does not guarantee specific commercial returns or technical deployment success. Our total aggregate liability under or in connection with this agreement— whether in contract, tort, or otherwise—shall be strictly limited to 100% of the fees actually paid by you for this specific Bootcamp cohort.


8. Governing Law & Jurisdiction


These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of Spain (or England and Wales, depending on your tax and legal structure for the Spanish entity), and both parties submit to the exclusive jurisdiction of the relevant courts.
